TERMS AND CONDITIONS FOR IMAGE USE

· Definitions: "Client," "Agency," and "Advertiser" include their successors and assignees. "Photographs" refers to any photographic material provided.

· Copyright: The Photographer retains global copyright of all Photographs.

· Ownership: Photographer owns all titles to Photographs; upon licence expiry, materials must be returned in good condition within 30 days.

· Use: Licence starts with full payment. No use before payment without permission. Use is restricted to the stated advertiser/product and requires further permission (and fees) for other uses.

· Exclusivity: Agency/Advertiser has exclusive publishing rights for a defined period, but the Photographer may use images for promotion after exclusivity ends.

· Client Confidentiality: Photographer keeps confidential information private, except as necessary to complete commissions.

· Indemnity: Photographer indemnifies Agency/Advertiser for failures to secure agreed third-party clearances. Otherwise, the Agency is responsible and indemnifies the Photographer.

· Payment: Payment due within 30 days of invoice; late payments may incur interest per the Late Payment of Commercial Debt (Interest) Act 1998.

· Expenses: Additional costs from changes by the Agency/Advertiser require approval and payment at standard rates.

Rejection:

11. Cancellation & Postponement: Confirmed bookings may incur cancellation/postponement charges at the Photographer’s discretion.

13. Electronic Storage: Images cannot be stored electronically or manipulated without written permission, except for licensed reproduction.

Applicable Law:

15. Variation: Changes require written agreement.
